
REC Limited, a Maharatna Government of India enterprise, has announced the formation of a new subsidiary named Vizag Power Transmission Limited, effective February 16, 2026. This company has been established as a wholly owned subsidiary of REC Power Development and Consultancy Limited (RECPDCL), which is itself a subsidiary of REC Limited. According to Section 2(87) of the Companies Act, 2013, Vizag Power Transmission Limited is also classified as a subsidiary of the parent company, REC Limited.
The creation of this new entity follows a directive from the Ministry of Power, which issued a Gazette Notification on December 26, 2025. RECPDCL was appointed as the Bid Process Coordinator to select a bidder for a transmission system designed to support Green Hydrogen and Green Ammonia projects in the Vizag region of Andhra Pradesh as part of Phase-I.
Vizag Power Transmission Limited has been incorporated with an authorized capital of ₹25 lakh and a paid-up capital of ₹5 lakh. As a newly formed company, it has not yet started business operations and has no previous turnover. The acquisition of the subsidiary was completed through a 100% cash subscription to equity shares at face value.
The main purpose of the subsidiary is to facilitate the Tariff-Based Competitive Bidding process. Once a successful bidder is selected, the company, along with all its assets and liabilities, will be transferred to that bidder. While Vizag Power Transmission Limited is currently a related party of REC Limited due to its ownership, the promoters do not hold any interest beyond their official shareholding.
This strategic initiative is part of REC Limited’s broader focus on strengthening India’s power infrastructure and supporting sustainable energy projects. By establishing this dedicated subsidiary, REC aims to streamline the bidding process for transmission systems that will serve emerging green energy projects, including Green Hydrogen and Green Ammonia, thereby contributing to the country’s energy transition goals. The move also reflects the government’s commitment to promoting clean energy and expanding power transmission capabilities in the Vizag area.
